Biography
Mr. Luiz Serafim Spinola Santos is an owner and chief executive officer of Rasley Corporation (Uruguay), an investment company. Mr. Santos serves as a founding partner of APIMEC. He served as an executive officer of ABRASCA (Brazilian Association of Publicly Held Companies) from 1995 through 2004. Since 2002 has been the chairman of the corporate governance committee of ABRASCA. He was a Partner of UBS Capital Americas from 1998 to 2002 and Brasilpar from 1981 to 1997. He served as the Chairman of the Board of Cremer SA and has been its Independent Director since 2006. Since 2002, Mr. Santos served as Vice Chairman of the board of directors of VARIG (Viação Aérea Rio-Grandense) for a period of three months as part of the group of independent members appointed by VARIG's major creditors in an effort to focus on the drafting and negotiation of a restructuring plan for VARIG. From 1977 to 1981, he was CVM's superintendent and head of the market development, investor relations and market and intermediaries departments. He serves as a Director at Banco do Brasil S.A. and Aegea Saneamento e Participações S.A. He has been a Director of Joao Fortes Engenharia S.A since April 2007. He serves as a member of the board of directors of the FPI--Food Processing International (Philadelphia) and Medidata Informática (Brazil). He served as a member of the board of directors of Directnet Telecomunicações (Brazil) and Fitch do Brasil (Brazil). He served as Director at Metalurgica Gerdau S.A. He is a member of the IBGC (Brazilian Institute of Corporate Governance), ABVCAP (Brazilian Private Equity and Venture Capital Association), and the APIMEC (Capital Markets Investment Analysts and Professionals Association). Mr. Santos has a degree in civil engineering from the Universidade Federal do Rio de Janeiro (1970), a master's degree in production engineering from the Universidade Federal do Rio de Janeiro (1972) and he also attended graduate courses in business at INSEAD, in France, in 1977.
