Hitachi Chemical Co., Ltd. (Head Office: Chiyoda-ku, Tokyo; President and CEO: Hisashi Maruyama; hereinafter “Hitachi Chemical”) announces the result of its mandatory tender offer (MTO) for the share acquisition of Thai Storage Battery Public Company Limited (hereinafter “TSB”), a listed company in the Stock Exchange of Thailand. Hitachi Chemical launched the MTO on August 1, as announced in its news release on July 20, 2017, and completed it on September 5.
Research Interest
Hitachi Chemical has acquired 8,589,616 shares (purchase value of approximately 2.4 billion Thai baht = 7.7 billion yen*1) of TSB. As a result, combined with the 43.9 percent stake acquired*2 through a negotiated transaction with the Korphaibool Family,*3 the founder and major shareholder of TSB, before launching the MTO, the Hitachi Chemical Group now owns roughly 87 percent of TSB’s shares in total, and TSB has officially become Hitachi Chemical’s consolidated subsidiary.
