Biography
Manage the legal affairs for three business divisions of a NASDAQ-traded international medical device company involved in the sale and distribution orthopedic, bone growth stimulator and human tissue/stem cell products. -- Partner with senior members of executive team, marketing, engineering, sales, business development, clinical and regulatory affairs providing legal and strategic business support in areas involving product acquisition, litigation and disputes, intellectual property, FDA regulatory matters, clinical studies, compliance, employment, business torts, HIPAA/privacy, Anti-Kickback, FCPA, Medicare/Medicaid and insurance reimbursement. -- Supervise and manage the company’s Contracts Department; structure, negotiate, draft and review complex business and technology agreements, software agreements, licensing agreements, asset purchase agreements, distribution agreements, non-disclosure agreements, consulting agreements, marketing service agreements, research and development agreements, clinical study agreements and other contracts with hospitals and group purchasing organizations. -- Manage the company’s U.S. and international intellectual property portfolio including the $1.5M annual IP budget; experience with intellectual property litigation, patent prosecution, trademarks, copyright, competitive intelligence, licensing and IP due diligence in mergers and acquisitions. -- Serve as lead counsel to the Compliance Department, providing advice and counsel on all aspects of the company’s corporate domestic and international compliance functions and ensuring compliance with the company’s government enforcement obligations: Corporate Integrity Agreement-HHS-OIG, a Deferred Prosecution Agreement-DOJ and Consent Decree-SEC. -- Strategically direct and conduct company investigations into allegations of misconduct and implement corrective action plans. -- Supervise the retention of outside counsel to effectively manage disputes, litigation and mitigate risks.
