Biography

 Provided leadership to ensure global compliance with applicable laws, regulations, and company policies and procedures, in particular the St. Jude Medical Code of Business Conduct, AdvaMed Code and laws and regulations covering Anti-Kickback/Bribery, Privacy and International Trade Controls while also increasing the culture of compliance throughout the organization *Worked with business leaders to develop solutions for state, federal, and OUS transparency and reporting laws  *In coordination with senior leadership, proactively analyzed compliance risks, conducted compliance assessments and implemented and monitored corrective action plans *Served as legal advisor to the St. Jude Medical Foundation and the St. Jude Medical Corporate Giving Program *Supervised the Chief Privacy Officer, Senior Director of International Compliance and the Corporate Compliance Team. Represented international, national and regional business entities in franchise and corporate matters, focusing on drafting franchise disclosure documents, advising clients regarding compliance with federal and state regulations, preparing and negotiating license agreements, franchise agreements and development agreements *Represented entrepreneurs and small and mid-size businesses in various business transactions, including entity formations, securities and asset acquisitions, mergers, share exchanges, and licensing matters
