Biography
Adam Benson is a Managing Director with the Tax Transaction Advisory practice of Alvarez & Marsal Taxand in New York. He was previously with A&M’s San Francisco office, focused on private equity and strategic acquisitions in the software, technology and technology enhanced consulting / outsourcing industries.Mr. Benson has more than 11 years of tax consulting experience advising clients on a range of domestic and international taxation issues. He focuses on domestic and cross-border mergers and acquisitions, tax due diligence, cash tax modeling, debt financing, reorganizations, group structure changes, entity rationalization, global tax structuring, cash and effective tax rate optimization, and integration of existing and acquired businesses. Additionally, Mr. Benson has significant experience with tax planning for start-up and rapidly growing businesses including IP planning, global expansion and cross-border tax issues, tax accounting methods and periods, and tax optimization of global supply chains. He has also worked extensively with tax attribute planning in the areas of merger and acquisition (M&A) transactions and bankruptcy / restructuring.Mr. Benson has served businesses in a variety of industries including private equity, hardware and software, manufacturing, electronics, online and brick-and-mortar​ retail, professional services, banking / finance and bio-technology. Key clients have included a large publicly-traded online retailer, a multinational technology-enhanced consulting and advisory business, and a private equity fund focused on investments in the software and technology space. Before joining A&M, Mr. Benson was a manager in the mergers and acquisitions tax practice at PwC in San Francisco. He worked in the M&A tax group in the Chicago office and started his career with PwC in Seattle. There, he focused on tax planning and compliance for businesses in the online retail and hardware and software industries.Mr. Benson earned a bachelor of business administration degree in accounting from the University of Washington and a master’s degree in taxation from Arizona State University. He is a licensed Certified Public Accountant (CPA).
