M. Stephen Harkness

Biography

 Mr. M. Stephen Harkness serves as the Vice President, Chief Financial Officer of the Energy Merchant Business Unit and Chief Operating of the Energy Merchant Business Unit at Cinergy Corp. He served as the President of the Energy Services Group for the Commercial Business Unit (CBU). He was the President and Chief Operating Officer of Cinergy Solutions, an affiliate of Cinergy Corp. that builds, owns, operates and maintains generation facilities and provides comprehensive energy services since 1998. He served as Chief Operations and Chief Financial Officer for the Energy Merchant Business Unit of Cinergy Corp. from 2001 to 2003. From 1997 to 2001, Mr. Harkness served as Executive Vice President and Chief Operating Officer of Trigen-Cinergy Solutions, a cogeneration development joint venture between Cinergy and Trigen Energy that builds, owns, operates and maintains cogeneration facilities and also provides industrial utility services. He served as the Vice President of Cinergy Cincinnati. From 1994 to 1996, he was General Manager of Corporate Development and Financial Services of Cinergy and was responsible for mergers & acquisitions, business development, feasibility analysis, non-regulated and international finance. He was responsible for Mergers and Acquisitions, business development and non-regulated initiatives. He was instrumental in developing and successfully implementing the strategy for the Cinergy Solutions business. He played a key role in Cinergy Corp.'s acquisition of Midlands UK regional electricity company. Since 1986 he served as Treasurer of PSI Energy, PSI Investments and PSI Resources, where he worked for eight years and was responsible for corporate finance, cash management, risk management, liability claims, corporate security and fire prevention. He was instrumental in financial restructuring efforts of PSI Energy in the late 80's and early 90's and was responsible for the issuance of over $2 billion of securities. From 1970 to 1986, he served several financial positions at PSI Energy and at various times was responsible for corporate accounting, accounting research, employee benefits, regulatory accounting, financial planning, operating and construction budgets, long-term financial forecasts and rate case testimony. He served as a Director of Countryside Canada Power Inc., a subsidiary of Countryside Power Income Fund, since February 17, 2004. He served as a Director of US Energy Systems Inc. from October 2000 to July 1, 2005. Mr. Harkness has a BS Degree in Finance from the University of Evansville and MBA from Indiana University.
