Biography

Mr. Mark W. Sheffert founded Manchester Companies, Inc. and has been its President and Chief Executive Officer since January 1994. Mr. Sheffert is a sought after advisor to boards, investors and top financial institutions and recognized expert in corporate governance and dispute resolution advisory. He served as the Chief Restructuring Officer of Genmar Holdings Inc. Mr. Sheffert served as the Chief Executive Officer of First Trust. Prior to MCI, he founded Sheffert & Wein Inc. and served as its Managing Partner from September 1982 to October 1990. He was Managing Partner of Manchester Financial from October 1990 to January 1994. He served in various executive positions with First Bank System, including Chairman and Chief Executive Officer of FBS Mortgage Company, FBS Card Services Inc. and FBS Insurance from September 1982 to October 1989. Before joining First Bank System, Mr. Sheffert served as President and Chief Operating Officer of North Central Life Insurance Company. He is a nationally recognized business advisor in financial, strategic and leadership issues facing companies undergoing rapid change, growth or crisis. His broad-based financial and management expertise was gained as President of First Bank System (now, US Bancorp). Prior to his career at First Bank, he served as President and Chief Operating Officer of a Midwestern-based insurance company. Mr. Sheffert has been the Chairman and Director of the Board at MGC Diagnostics Corporation since September 1, 2010. He has been the Chairman of Manchester Companies Inc. since January 1994. He has been the Chairman of LifeRate Systems Inc. since January 1998. He served as the Chairman of BNC Corp. Inc. (Holding Company of BNC National Bank) from January 01, 2008 to April 29, 2013 and served as Chairman of the Board of BNC National Bank (Phoenix, AZ) from December 31, 2007 to April 29, 2013. He served as the Chairman of Medical Graphics Corp. from March 25, 1997 to December 1999. He served as Chairman of HealthFitness Corporation (a/k/a Health Fitness Corp). since May 2006. Mr. Sheffert served as Chairman for First Trust. He served as Chairman of Telident Inc., since May 1994. He served as Vice Chairman of First Bank N.A., First Bank System's largest subsidiary. He has gained a reputation as a no-nonsense, hands-on, results-oriented manager while serving as advisor to public, private and non-profit groups in a broad range of industries. He has over 30 years of experience in investment banking, finance, turnaround / crisis management and strategic planning. He served as a Director of Kahler Realty Corporation since 1991. He serves as a Director for over thirty companies, including NYSE, NASDAQ and private companies. Mr. Sheffert serves as Director of Benedictine Health Dimensions. He has been a Director of Fourth Shift Corp., since April 1998 and Allina Health System, Inc. since June 2009. He serves as a Member of Advisory Council at Inoca Capital Partners, LLC. He has been a Director of BNC Corp. Inc. since August 2004. He serves as a Director of PCI Construction. He served as an Independent Director of Health Fitness Corp. from January 2001 to February 26, 2010. Mr. Sheffert served as a Lead Director of BNC Corp. Inc. (Holding Company of BNC National Bank) since October 2006. He served as a Director of BNC National Bank (Phoenix, AZ) since December 21, 2007. He served as a Director of Medical Graphics Corp. from January 1997 to December 1999. Mr. Sheffert served as a Director of North Central Life Insurance Company and privately held corporations and community organizations. He served as a Director of Telident Inc. since 1990. He served as Director of Analysts International Corp. from August 16, 2007 to November 13, 2007. Mr. Sheffert is a demanded public speaker on a variety of topics confronting small and middle-market companies and has served as adjunct professor, panel member and featured presenter at organizations such as The American Bankers Institute, Association of Bank Holding Companies, American Bar Association, Bankruptcy Institute, Universities of Minnesota, St. Thomas and St. Catherine, Minnesota Institute of Legal Education and various continuing legal education seminars. Mr. Sheffert is a member of the American Bankruptcy Institute and the International Federation of Insolvency Professionals (INSOL). He is a columnist on business topics for a leading monthly business magazine and was published in several national business journals. He writes monthly on topics of leadership, ethics and corporate governance for Twin Cities Business. His articles also appear in various national and regional business and corporate governance media. Having served on over 45 boards and Chairman of most, he received the Outstanding Director Award in 1999 and Lifetime Achievement Award in 2009 from the National Association of Corporate Directors for his corporate governance leadership. In 1999, Mr. Sheffert received the corporate renewal industry's highest honor, the coveted Turnaround Management Association's National Turnaround of the Year Award. He was also recognized for his exceptional service on public company boards by being named one of Minnesota's five Outstanding Directors of the Year by the National Association of Corporate Directors and Twin Cities Business Monthly. Mr. Sheffert has a Master's Degree in Management (MSM) from the Richard D. Irwin Graduate School of Management at the American College in Bryn Mawr, Pennsylvania. He completed undergraduate work and Minnesota Executive Program at the University of Minnesota. Mr. Sheffert also graduated from University of Minnesota's Graduate School of Business' Executive Program (MEP).
